In the event of any discrepancy between a translation and the French version of these terms and conditions, the French version prevails.

1. Scope

These general terms and conditions (the "T&Cs") govern the services of Cédric Menier, trading under the name Chambord Agency ("Chambord Agency"), for clients acting for business purposes (the "Client"). They are attached to every offer, quote or agreement (the "Offer") and to every invoice. The accepted Offer and the T&Cs form the contract. The Offer prevails in case of conflict. The Client's general terms are excluded, unless Chambord Agency agrees otherwise in writing.

2. Formation and term of the contract

The Offer is valid for 30 days. The contract is formed by its written acceptance (signature or email) or by payment of the invoice. Any service outside the Offer is subject to an additional quote. A recurring assignment with no fixed term is concluded for an indefinite period. Either party may terminate it in writing with one month's notice. A fixed-term contract ends at its expiry, without tacit renewal.

3. Performance and collaboration

Chambord Agency performs the services diligently, in accordance with professional standards, and keeps the Client informed of their progress. It may entrust part of the services to freelance collaborators, for whom it remains responsible. The Client appoints a contact person authorised to approve, provides the brief, content and access in good time, and obtains the necessary permits (filming locations, administrative authorisations), unless the Offer assigns them to Chambord Agency. Deadlines are indicative unless otherwise stated in the Offer. Any delay by the Client extends them accordingly.

4. Approvals and corrections

Each key stage (script, storyboard, mock-up, edit, final version) is subject to the Client's approval. Written approval, including by email, constitutes acceptance of the stage. Corrections are agreed between the parties. Any change to an approved stage or to the brief requires prior agreement on its price and timeline. Unless a written, reasoned objection is made within 10 business days of a delivery, the delivery is deemed accepted.

5. Prices and invoicing

Prices are in euros excluding VAT. Unless otherwise stated, VAT and costs incurred for the Client (travel outside Brussels, specific equipment, licences, talent) are added. Unless otherwise stated in the Offer, the invoice covers 100% of the price and is issued upon order. Work begins upon receipt of full payment, and deadlines run from that date. Recurring assignments are invoiced at the start of each month, on the same terms. Advertising budgets (Meta, Google, LinkedIn, TikTok) are paid by the Client directly to the platforms or invoiced by Chambord Agency in advance, at cost. Recurring rates may be revised once a year, with one month's written notice. The Client may then terminate without charge. Invoices are issued in structured electronic format via the Peppol network for VAT-registered clients in Belgium.

6. Payment and late payment

Invoices are payable by bank transfer upon receipt, unless the Offer provides otherwise. Any amount unpaid by the due date automatically bears, without prior notice, interest at the rate set by the Belgian Act of 2 August 2002 on late payment, plus a fixed compensation of 10% of the amount due, with a minimum of €40. The Client enjoys the same rights if Chambord Agency is late in refunding an amount. If a reminder remains unanswered for 8 days, Chambord Agency may suspend ongoing services or terminate the contract by written notice. Any dispute about an invoice must be made in writing, with reasons, within 14 days of receipt. Failing this, the invoice is presumed accepted. The undisputed part remains due on the due date. Chambord Agency may assign its receivables to a third party.

7. Cancellation and postponement

Any cancellation or postponement must be notified in writing. Services performed and non-recoverable costs incurred (equipment, bookings, talent, licences, travel) remain due. A filming, event or training day cancelled or postponed less than 10 business days before the scheduled date is due at 50%, and at 100% less than 48 hours before. A first postponement requested earlier is free of charge. A Client who terminates a project in progress compensates Chambord Agency for its expenses, the work performed and the lost profit (art. 1794 of the former Belgian Civil Code). Any amount paid in excess of the sums due is refunded to the Client.

8. Intellectual property

Chambord Agency retains all rights to its creations until full payment of the price is received. Upon such payment, Chambord Agency assigns to the Client, on an exclusive basis, all economic copyrights in the deliverables and rushes produced for the Client, for all known forms of exploitation, on any medium, worldwide and for the entire legal term of protection, including the rights of reproduction, communication to the public, adaptation, translation and assignment to third parties. The price of this assignment is included in the price of the Offer (art. XI.167 of the Belgian Code of Economic Law). Source files of post-production projects (editing, animation, motion design) remain the property of Chambord Agency. Their delivery and the assignment of the related rights are subject, at the Client's request, to an additional fee agreed between the parties. Third-party elements (music, stock footage, fonts, voices, actors) remain subject to their licence, passed on to the Client within the limits of the rights acquired by Chambord Agency. The Client warrants that it holds the rights to the elements it provides and has obtained the consent of the people filmed or photographed at its request (image rights). The Client indemnifies Chambord Agency against any third-party claim in this respect. Unless the Client refuses in writing, Chambord Agency may cite the Client as a reference and showcase the published deliverables in its portfolio.

9. Artificial intelligence

Chambord Agency may use generative AI tools, under human oversight. It does not enter any confidential Client data into a tool that uses it for training. Content generated or modified by AI that realistically depicts people, places or events (deepfakes) is disclosed to the Client and delivered with the label required by Article 50 of Regulation (EU) 2024/1689 on AI, applicable since 2 August 2026. The Client keeps this label when publishing. The Client may require in the Offer a production without generative AI. The assignment in Article 8 applies to AI-generated elements to the extent that rights exist.

10. Liability

Chambord Agency is bound by an obligation of means. It is not liable for elements provided or approved by the Client, nor for their compliance with the regulations of the Client's sector (advertising claims, health, finance). Campaign results are not guaranteed, unless expressly committed to in the Offer. Chambord Agency is not liable for indirect damages (loss of turnover, profit, clientele or opportunity, damage to reputation, third-party claims). Its total liability is limited to the amount, excluding VAT, paid for the service concerned or, for a recurring assignment, to the amounts paid over the 6 months preceding the event giving rise to the damage. These limits do not apply in case of wilful misconduct or gross negligence by Chambord Agency or its collaborators, nor in case of harm to life or physical integrity (art. 5.89 of the Belgian Civil Code). They also benefit its collaborators and subcontractors.

11. Force majeure

Neither party is liable for a delay or failure to perform caused by an unforeseeable and irresistible event beyond its control (natural disaster, fire, pandemic, general network or power outage, cyberattack, general strike, decision of the authorities). If a team member suddenly becomes unavailable (illness, accident), Chambord Agency offers a replacement with equivalent skills or a postponement. Beyond 30 days, either party may terminate in writing, with services already performed remaining due.

12. Personal data and confidentiality

The parties comply with the GDPR (Regulation (EU) 2016/679) and the Belgian Act of 30 July 2018. When Chambord Agency processes personal data on behalf of the Client (files, campaigns, automation), it acts as a processor within the meaning of Article 28 GDPR, on documented instructions, and signs a data processing agreement on request. The Client is responsible for the lawfulness of the data provided. Each party keeps the other's non-public information confidential during the assignment and for two years afterwards.

13. Non-solicitation

During the assignment and for 12 months after it ends, each party refrains from directly soliciting the employees or freelance collaborators of the other party assigned to the assignment, unless agreed in writing.

14. Miscellaneous

An email counts as a written document. Failure to exercise a right does not constitute a waiver of that right. A void clause does not affect the others and is replaced by a valid clause with the closest effect. Between successive contracts, the most recent provision prevails. The applicable version of the T&Cs is the one attached to the accepted Offer.

15. Governing law and disputes

The contract is governed by Belgian law. The parties first seek an amicable solution, through mediation if needed. Failing this, the courts of the judicial district of Brussels have exclusive jurisdiction. Proceedings are conducted in French.
